Terms of Service

These Terms of Service ("Terms") govern your use of the services provided by NuMega LLC ("NuMega," "we," "us," or "our") through numega.ai and our business automation platform.

1. Services

NuMega provides AI-driven business automation tools for local businesses, including SMS-based customer feedback collection, Google review solicitation campaigns, AI receptionist services, and lead generation systems.

2. Eligibility

Our services are available to businesses operating in the United States. By using our services, you represent that you are authorized to bind your business to these Terms.

3. SMS Communications

Our platform sends SMS messages to End Customers on behalf of Clients. By engaging our services, Clients agree to the following:

• Consent responsibility: Clients are responsible for ensuring they have obtained proper consent from their customers before providing phone numbers to NuMega. This includes maintaining records of consent as required by the TCPA.
• Prior business relationship: Clients confirm that all End Customers have an existing business relationship with the Client.
• Message frequency: End Customers receive a maximum of 3 messages per campaign, no more than one campaign per 90-day period.
• Opt-out compliance: End Customers may opt out at any time by replying STOP. Opt-out requests are honored immediately and automatically.
• Send windows: Messages are sent only during permitted hours (default: 9:00 AM to 7:00 PM local time, Monday through Saturday) in compliance with TCPA.
• Message and data rates: Standard message and data rates may apply to End Customers depending on their carrier and plan.

4. Client Responsibilities

• Provide accurate and up-to-date customer information.
• Not use our platform to send deceptive, fraudulent, or illegal messages.
• Maintain their own privacy policy disclosing SMS communication practices.
• Respond promptly to customer feedback routed through our platform.
• Not circumvent opt-out mechanisms or re-enroll opted-out customers.

5. Fees and Payment

Service fees are agreed upon between NuMega and each Client prior to campaign launch. NuMega reserves the right to suspend services for non-payment.

6. Data Handling

Our collection, use, and protection of personal information is described in our Privacy Policy.

7. Intellectual Property

All content, software, and technology comprising the NuMega platform are owned by NuMega LLC. Clients retain ownership of their customer data.

8. Limitation of Liability

To the maximum extent permitted by law, NuMega shall not be liable for indirect, incidental, special, consequential, or punitive damages. Our total liability shall not exceed the fees paid by the Client in the 12 months preceding the claim.

9. Indemnification

Clients agree to indemnify and hold harmless NuMega from claims arising from violation of these Terms, failure to obtain proper consent, misuse of the platform, or violation of applicable laws.

10. Termination

Either party may terminate services with 30 days written notice. Upon termination, active campaigns will be halted and Client data retained for 90 days before deletion.

11. Modifications

We may update these Terms from time to time. Material changes will be communicated to active Clients via email.

12. Governing Law

These Terms are governed by the laws of the State of New York. Any disputes shall be resolved in the courts located in New York County, New York.
